⚠️ WARNING: These terms constitute a legally binding contract with substantial legal consequences. All parties are advised to consult legal and tax counsel before signing.

1. Agreement to Purchase

By entering into a purchase agreement with Strategic Land Solutions, LLC (“Seller”), the Buyer agrees to purchase the specified vacant residential land property (“Property”) under the terms outlined herein. The Property is identified by its Parcel ID and Legal Description as stated in the signed contract.

2. Payment Options

Option A — Cash Sale

The full purchase price is paid upfront. This contract is not contingent on financing. A one-time processing fee is due at signing, along with the agreed-upon down payment.

Option B — Owner Financing (Terms/Installment Sale)

The Seller agrees to finance a portion of the purchase price via a Promissory Note and Land Sale Contract. Key payment terms include:

Monthly payments begin approximately 30 days from the contract date
Payments are automatically drafted from the Buyer’s provided bank account
A Note Servicing Fee and prorated property taxes are included in the monthly payment
There is no prepayment penalty — the note may be paid off at any time, with only accrued interest assessed to the date of payoff
If county property taxes increase, the monthly payment will be adjusted accordingly
If the Buyer sells the property, the remaining balance is still owed to the Seller

3. Down Payment & Processing Fee

The Buyer deposits a down payment with Strategic Land Solutions, LLC at the time of signing. A one-time document processing/accounting setup fee is also due at signing. Receipt of both the down payment and document preparation fee will be acknowledged in writing.

4. Property Condition

The Buyer acknowledges they have personally inspected the Property and accepts it in its “as-is” present condition. The Seller represents no knowledge of wetlands, flood plains, hazardous substances, petroleum products, or underground storage tanks on or affecting the property.

5. 90-Day Satisfaction Guarantee

Strategic Land Solutions, LLC offers a 90-day satisfaction guarantee from the date of the down payment. If, for any reason, the Buyer is unsatisfied with the Property within this period, Strategic Land Solutions will either:

Exchange the property for another, or
Refund all monies, minus closing costs, payment fees, and accounting setup fees

6. Title & Conveyance

Title will be conveyed to the Buyer via Warranty Deed
For cash sales, the deed is transferred at closing
For owner-financed (terms) sales, the Seller holds the Warranty Deed until the property is completely paid off. Upon final payment, the Seller will record the Warranty Deed with the appropriate county within 30 days
The Seller warrants the title will remain free of loans, liens, or encumbrances throughout the payment period
A title report will not be automatically provided at closing; the Buyer may conduct their own title search at their own expense
If title defects are discovered, the Seller will notify the Buyer within 5 days of closing, at which point the Buyer may cancel the contract (with full refund of earnest money), accept title as-is, or allow the Seller reasonable time to cure the defect

7. Closing

The closing date will be as specified in the signed contract
Closing may be extended up to 7 days following resolution of title objections, or by written agreement of both parties
Closing directly through Strategic Land Solutions incurs no closing cost to the Buyer
If closed through a title company, costs are allocated as follows:

8. Property Taxes

Property taxes are prorated and included in the Buyer’s monthly payment (for financed purchases). The Seller pays the property taxes directly until the Buyer completes full payment and the property is conveyed.

9. Late Payments & Default (Owner-Financed Purchases)

Payments have a 5-day grace period from the due date
A $25 late fee is assessed for any payment not received within the grace period
Upon default, the interest rate may increase by 5 percentage points
If a payment is 35 or more days past due, the Seller will notify the Buyer via email/phone/text, providing 15 days to bring payments current
If full payment is not received within those 15 days, the property may be repossessed without court action, and the Buyer forfeits all payments and interest made
The Seller is willing to work with Buyers who communicate proactively — non-communication will result in a swift default process

10. Restrictions During the Payment Period

Until the property is fully paid off, the Buyer agrees to the following:

No living on the land
No pulling permits or constructing any structures
No dumping of environmentally hazardous waste
Timber removal is limited to only what is needed to place a dwelling or structure
The Buyer must comply with all local and state zoning codes, municipality rules, and regulations

11. Assignment

The Buyer may not assign this agreement without the Seller’s written consent
The Seller may assign this agreement; it is binding upon all heirs and assigns of both parties

12. Default Remedies

If the Buyer defaults, the Seller may enforce specific performance or terminate the contract and retain the earnest money as liquidated damages
If the Seller defaults, the Buyer may enforce specific performance or terminate the contract and receive a full refund of earnest money
The prevailing party in any legal dispute is entitled to recover all legal costs and reasonable attorney’s fees from the non-prevailing party

13. Appraisal & Survey

Any appraisal of the property is the sole responsibility of the Buyer. A survey is not required.

14. Eminent Domain

If the property is condemned by eminent domain after the contract’s effective date, both parties will negotiate whether to continue or cancel the closing. If no agreement is reached, the Buyer is entitled to cancel and receive a full refund of the down payment.

15. Federal Tax Compliance

If the Seller qualifies as a “foreign person” under applicable law, the Buyer is required to withhold a sufficient amount from the sales proceeds and remit it to the IRS with the appropriate tax forms. IRS regulations also require written reports for cash transactions exceeding specified thresholds.

16. Governing Law & Notices

This agreement is governed by the laws of the State of Arizona
Time is of the essence in the performance of this agreement
All notices between parties must be in writing and delivered via mail, hand-delivery, or facsimile
No real estate broker or agent fees are included in this transaction; any such fees are the sole responsibility of the party who engaged the agent
This contract represents the entire agreement between the parties and may only be modified by written consent of both parties
